Terms

General Terms and Conditions between Eduard Bodak and the Customer (hereinafter referred to as the "Customer")

The following conditions govern the use of the website www.eduardbodak.com and all associated digital services, channels, and applications. By accessing the website and using our services, the Customer acknowledges these conditions as binding. If the Customer does not agree to these conditions, they must immediately cease using the website.

The offer is directed exclusively at entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB).

Copyright and Intellectual Property

All content on the website - including source code, designs, texts, images, videos, databases, and trademarks - is protected by copyright and, unless otherwise indicated, is the property of Eduard Bodak. Without explicit written permission, commercial use, reproduction, distribution, or modification of this content is prohibited. All rights are reserved.

Ownership of Created Materials

All original files and designs developed for the Customer as part of a project (the "Projects") shall become the Customer's property in full. If the law provides for a different regulation, all rights shall be transferred to the Customer without restriction and permanently.

The Customer assures that all content and materials provided are free from third-party rights. Eduard Bodak reserves the right to use the created works for their own advertising purposes (e.g., on the website or in social media), unless otherwise agreed upon, such as through a separate confidentiality agreement.

Use of External Fonts

If a project uses fonts that require a separate commercial license (third-party fonts), the Customer will be informed in writing. In this case, the Customer is obligated to obtain the necessary licenses from the respective rights holders themselves. Eduard Bodak assumes no liability for potential copyright infringement due to missing licenses, provided the Customer has been informed accordingly.

Website Usage - Customer Assurances

By using the website, the Customer confirms:

  • to be legally competent and to comply with these GTC,
  • not to be a minor within the meaning of the applicable legislation,
  • not to use automated systems to use the website,
  • not to pursue unauthorized, unlawful, or abusive purposes,
  • not to violate applicable law.

Prohibited Use

The website may only be used for purposes related to Eduard Bodak's services. The following is explicitly prohibited:

  • abusive or unauthorized use of the website,
  • automated reading of content to create one's own databases,
  • circumvention or manipulation of security features,
  • framing or linking without permission,
  • technical interference with the website's operation or infrastructure,
  • reverse engineering, decompiling, or reassembling code components,
  • uploading malware or excessively burdensome content,
  • publishing or transmitting content that infringes on third-party rights,
  • harassing, threatening, or deceiving Eduard Bodak employees or contractors.

Project Duration and Delivery

Each project begins with a briefing and the provision of all necessary content by the Customer. The delivery of individual tasks/project parts takes place within 2-3 working days, unless extraordinary circumstances arise. Projects are processed on weekdays (Monday to Friday, excluding holidays in North Rhine-Westphalia).

The Customer is obligated to provide feedback or approvals in a timely manner to avoid delays. Changes and revisions are implemented within the agreed-upon processing time.

Changes and Revisions

The Customer has the right to request changes to a delivered project. These changes must be within the scope of the originally agreed-upon task. Changes that exceed the original scope are treated as a new project.

Eduard Bodak reserves the right to reject unreasonable change requests or to charge for them separately, unless they are covered by a valid subscription.

Payment

Payment is made monthly via Stripe. The first payment is due immediately upon conclusion of the contract. Subsequent payments are automatically debited every month on the same calendar day.

In the event of payment failures, access to the services is suspended until payment is received. The Customer bears all costs associated with the payment failure (e.g., return debit fees).

Termination and Cancellation

The contract can be terminated at any time via the customer account or by written notification. A pro-rata refund is not possible in the event of early termination. The Customer remains obligated to pay until the end of the respective billing period. After termination, the Customer loses access to open or planned projects. Eduard Bodak recommends downloading all final files before termination.

Refunds

Since the services are digital, refunds are generally excluded.

If a project is not delivered as agreed upon, the Customer can request a review. Eduard Bodak reserves the right to offer a credit or replacement service in individual cases.

Usage Rights

After full payment, the Customer receives a simple, non-transferable right to use the services provided within the scope of the subscription.

The created designs may be used by the Customer for private or commercial purposes but may not be resold or licensed to third parties without Eduard Bodak's consent.

Unless otherwise agreed upon, all copyrights remain with Eduard Bodak.

Reference Mention

Eduard Bodak reserves the right to publish completed projects for reference purposes on their own website or in social media.

If the Customer does not wish this, they can notify Eduard Bodak during the commissioning process or subsequently by email.

Liability

Eduard Bodak is only liable for intent and gross negligence. No liability is assumed for indirect damages, such as lost profits or data loss.

The Customer is responsible for the legal review (e.g., copyright, trademark, or competition law aspects) of the delivered content.

Confidentiality

Both parties are obligated to maintain confidentiality about all information obtained during the collaboration, even after the termination of the contractual relationship.

Final Provisions

German law applies. The place of jurisdiction is Eduard Bodak's registered office, insofar as legally permissible.

If individual provisions of these GTC are invalid or become invalid, the validity of the remaining provisions remains unaffected.

The Customer is responsible for the legal review (e.g., copyright, trademark, or competition law aspects) of the delivered content.

Confidentiality

Both parties are obliged to maintain confidentiality about all information received during the collaboration, even after the end of the contractual relationship.

Final Provisions

German law applies. The place of jurisdiction is, as far as legally permissible, the registered office of Eduard Bodak.

Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
